Army of the dead is a spell that you can cast upon any city you or a kd mate  controls. It will create an army with some tier 3 units and a lot of exp. You can only have 1 out at a time, so a re-cast will just make the previous army of the dead disappear. The number of units in the army varies with magic power.

Ghost warriors is ALSO a spell you cast on your own cities or a kd mate cities. It converts the peasants into tier 1 troops; thus the spell name Ghost Warriors. Unlike army of the dead; you can cast it as much as you want as it does not create a new army for you. Casting it on a kd mate will turn his peasants into lvl 1 troops. Later in the eras; Ghost warriors can be used very effectively when the cost of training a lvl 1 troop is double the cost of a slave. The conversion rate varies with magic power.

Its been answered pretty well here... Personally, I think AotD kicks ass and is underestimated..... Soooo many Riders with 100xp ;)

Well, you'd have to move one army onto the world to fight another. So nah.
